Locken

Locken Terms of Service

Effective date: October 16, 2026
Last updated: October 22, 2026

These Terms of Service (the "Terms") are a binding agreement between you and Locken ("Locken", "we", "us" or "our"). They govern your use of the Locken desktop applications for macOS and Windows (including the Locken app and any test, beta or preview builds), the website at https://locken-app.vercel.app, and every related feature, update and service (together, the "Service").

Please read these Terms carefully. Section 5 explains that Locken can quit apps and close browser tabs on your computer. Sections 16 and 17 limit our liability. Section 19 explains how disputes are resolved.

1. Acceptance of these Terms

1.1 How you accept. You accept these Terms by checking the box that states you agree to them, or by clicking a button that states that doing so means you agree, when you create an account or first use the Service.

1.2 Related policies. These Terms incorporate by reference our Privacy Policy, our Acceptable Use Policy and our Security & Data Protection Policy. If these Terms conflict with one of those policies, these Terms control, except that the Privacy Policy controls on how we handle personal information.

1.3 If you do not agree, do not install, access or use the Service.

2. Eligibility, minors and schools

2.1 Minimum age. You must be at least 13 years old to use the Service. In the European Economic Area and the United Kingdom, you must also be old enough to consent to the processing of your personal data under the law of your country, or have the consent of a parent or guardian. The Service is not directed to children under 13. If we learn that a user is under 13, we will delete that account and its associated personal information as described in our Privacy Policy.

2.2 Users under the age of majority. If you are under 18 (or the age of majority where you live), you may use the Service only with the involvement and permission of a parent or legal guardian, and your parent or guardian must review and agree to these Terms on your behalf. A parent or guardian who permits a minor to use the Service agrees to these Terms on the minor's behalf, is responsible for the minor's use of the Service, and accepts these Terms for themself.

2.3 Age requirements of third-party services. Some optional features connect to third-party services that set their own minimum age (for example, certain AI providers require users to be 18 or older). You may use those features only if you meet that provider's requirements. See Section 6.

2.4 Schools. The Service is offered directly to individual students. It is not provided under a contract with your school, and your school does not control your account. If a school, district or other educational institution wishes to deploy or recommend the Service, it must contact us first at daanu.focus@gmail.com so that an appropriate written agreement can be put in place.

2.5 Legal capacity and restrictions. You represent that you are not barred from using the Service under any applicable law, and that you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and are not on any government list of restricted parties.

3. The Service

3.1 What Locken does. Locken is a focus tool for students. Depending on the build and the features you turn on, it can run timed focus sessions; block distracting apps and websites during a session; show periodic check-in prompts; record focus statistics and screen usage locally on your computer; store notes, habits and milestones locally; read and write Apple Reminders and Calendar with your permission; show assignments from your Canvas LMS account; and suggest clearer goals using an AI provider you choose. Not every feature is available on every platform; the Windows app currently offers sign-in, timed sessions, check-ins, local statistics and closing distracting apps.

3.2 Local-first design. Most data the Service creates is stored only on your computer and is not sent to us. Our Privacy Policy lists what stays on your computer, what reaches our servers and what goes directly to third parties.

3.3 Free service; future paid features. The Service is currently provided free of charge. We may introduce paid features in the future. We will never charge you without your express agreement to the price and terms at the time of purchase, and any paid features will be governed by additional terms presented to you before you buy.

3.4 Test, beta and preview builds. Some builds or features may be labeled test, beta, preview or similar. They are provided for evaluation, may be unstable or incomplete, may change or be withdrawn at any time, and are provided strictly "as is" under Section 16.

3.5 Changes to the Service. We may add, change, suspend or remove features at any time. If we discontinue the Service entirely, we will try to give you reasonable advance notice by email or in the app.

4. Accounts and security

4.1 Your account. Some features require an account. You agree to provide accurate information, keep it up to date, and maintain only one account unless we permit otherwise.

4.2 Credentials. You are responsible for keeping your password, sign-in codes, authenticator app and devices secure, and for all activity under your account. Do not share your account or sign-in codes with anyone. We strongly recommend turning on an authenticator app (two-step verification) where available.

4.3 Tell us about misuse. Notify us immediately at daanu.focus@gmail.com if you believe your account has been accessed without your permission.

4.4 Sign-in codes and verification. We may require additional verification, such as one-time codes sent by email, to protect your account. We may refuse or limit sign-in attempts that appear automated or abusive.

5. Automated actions on your computer

5.1 Locken changes what is running on your computer. When you start a focus session with blocking turned on, the Service may, without further prompting:

5.2 Your permissions. On Mac, these actions use macOS permissions that you grant (such as Automation, Reminders and Calendars). You can withdraw those permissions at any time in macOS System Settings, which may disable the related features. On Windows, Locken closes apps with the permissions of your own Windows user account and only while a session is running.

5.3 Save your work. Quitting an application or closing a tab can cause unsaved work, form entries, downloads, game progress or other data to be lost. Before you start a session with blocking turned on, you are responsible for saving your work and for reviewing which apps and sites are blocked. The Service is designed to leave work applications running and to keep running any application it does not recognize, but we do not guarantee that classification will be correct in every case.

5.4 Not a security or parental-control product. The distraction blocker is a self-management tool. It is not designed to, and does not, prevent a determined user from bypassing it, and it must not be relied upon to restrict, protect or supervise another person.

5.5 Liability for automated actions. To the maximum extent permitted by law, and subject to Section 17, we are not responsible for any loss of unsaved data, interruption or other consequence resulting from the Service quitting an application, closing a tab, changing a Focus mode or displaying a window, where the Service is operating as described in this Section 5.

6. Third-party services

6.1 Connections you choose. The Service can connect to services operated by others, including your school's Canvas LMS, AI providers (Anthropic, OpenAI and Google), Google sign-in, Apple services on your Mac and music apps (together, "Third-Party Services"). You decide whether to connect them.

6.2 Your credentials, your relationship. When you connect a Third-Party Service with your own access token or API key, you do so under your own account and agreement with that provider. Those credentials are stored in your Mac's Keychain and are sent only to the provider they belong to. You are responsible for complying with the provider's terms, usage policies and age requirements, and with your school's acceptable-use and academic-integrity policies, and for any fees the provider charges you.

6.3 No control or endorsement. We do not control and are not responsible for Third-Party Services, their availability, their content, their security or how they handle your data. Your use of a Third-Party Service is governed by that provider's terms and privacy policy. A Third-Party Service may change or stop working with Locken at any time.

6.4 Apple and Microsoft. The Service runs on Apple's macOS and Microsoft's Windows and uses their frameworks. Neither Apple nor Microsoft is a party to these Terms or responsible for the Service. If the Service is ever distributed through the Mac App Store or the Microsoft Store, that store's standard end-user license terms will also apply.

7. AI features

7.1 What happens. AI features are available only to users who are 18 or older. If you add an API key for an AI provider and use an AI feature (such as Intelligent Rephrase or automatic milestones), the Service sends the text needed for that feature (for example, your goal text, the session length and the titles of upcoming Canvas assignments) directly from your Mac to that provider, using your key.

7.2 AI output can be wrong. AI-generated suggestions ("Output") are produced automatically by third-party models. Output may be inaccurate, incomplete, inappropriate or not suited to your situation. Review and edit Output before relying on it. We do not guarantee any Output and are not responsible for decisions you make based on it.

7.3 Academic integrity. The AI features help you plan and phrase goals; they are not intended to complete schoolwork for you. You are solely responsible for complying with your school's rules on the use of AI and on academic honesty.

7.4 Ownership of Output. As between you and us, you may use the Output you receive, subject to the AI provider's terms. We claim no ownership of your inputs or your Output.

8. Your content and data

8.1 Your content. "Your Content" means the notes, goals, habits, milestones, profile name and image, and other material you create or enter in the Service. You keep all rights you hold in Your Content.

8.2 Content on your computer. Most of Your Content is stored only on your computer. We do not receive it, cannot access it and cannot recover it if it is lost. You are responsible for backing up your computer.

8.3 License to us. To the extent Your Content is stored on or passes through our servers (for example, your profile name and image), you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit and display it solely to operate and provide the Service to you and to comply with law. This license ends when the content is deleted from our systems, except for copies we must keep under law or in short-lived backups.

8.4 Your responsibility. You represent that you have the rights needed to provide Your Content and that it does not violate these Terms, the Acceptable Use Policy or any law.

9. Acceptable use

You must use the Service in compliance with our Acceptable Use Policy and all applicable laws. In particular, you must install and use the Service only on Macs you own or are authorized to use, and you must not use it to monitor another person without their knowledge and consent.

10. Software license and restrictions

10.1 License. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install and use the Locken applications in object-code form on Macs that you own or control, for your personal, non-commercial use.

10.2 Restrictions. Except as expressly permitted by these Terms or by law that cannot be waived, you must not:

10.3 Open-source components. The Service includes open-source software and other third-party components listed in our credits. Those components are licensed under their own terms, which control over these Terms where they apply.

10.4 Reservation of rights. The Service, including its software, design, text, graphics, logos and the "Locken" name, is owned by us or our licensors and is protected by intellectual-property laws. All rights not expressly granted to you are reserved.

11. Updates and downloads

11.1 Official sources only. Download Locken only from https://locken-app.vercel.app or from within the app. Copies obtained elsewhere may be altered or malicious, and we are not responsible for them.

11.2 Verified updates. The Service may check for updates automatically. Updates offered inside the Mac app are verified with a cryptographic signature and checksum before installation. Some updates may be required to keep using the Service or certain features, for example to fix security issues.

11.3 Security warnings. macOS may warn you when you first open Locken because it is not yet notarized by Apple, and Windows may show a SmartScreen warning ("Windows protected your PC") because the Windows installer is not yet code-signed. Opening it anyway means you choose to install software that your operating system has not itself verified.

12. Feedback

If you send us suggestions, ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you. You are not required to send feedback.

13. Privacy

Our Privacy Policy explains how we collect, use and protect personal information. By using the Service you acknowledge that we will handle your information as described there.

14. Communications

You agree that we may send you service-related communications, such as sign-in codes, security notices, account notices and changes to these Terms, by email or in the app. These are part of the Service and are not marketing. We will send marketing messages only if you opt in, and you may opt out at any time.

15. Termination

15.1 By you. You may stop using the Service at any time. You may delete your account in the app (Settings → Delete Account, on Mac and Windows), or by emailing daanu.focus@gmail.com. Deleting your account removes it from our servers and erases that account's data from the computer where you delete it, as described in our Privacy Policy. Uninstalling the app does not by itself delete your account.

15.2 By us. We may suspend or terminate your access to all or part of the Service, with or without notice, if: (a) you materially or repeatedly breach these Terms or the Acceptable Use Policy; (b) we are required to do so by law or a lawful request; (c) your use creates a security, legal or safety risk for us, other users or third parties; or (d) we discontinue the Service. Where reasonable and lawful, we will tell you the reason and give you an opportunity to respond, as described in the Acceptable Use Policy.

15.3 Effect. On termination, your license under Section 10 ends and you must stop using the Service. Data stored only on your computer remains there until you delete it or uninstall the app.

15.4 Survival. Sections 7.2, 8.3 (for retained copies), 10.4, 12, and 16 through 22 survive termination.

16. Disclaimers

16.1 "As is." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

16.2 No guarantee of results. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT IT WILL BLOCK EVERY DISTRACTION, THAT ITS STATISTICS WILL BE ACCURATE, THAT DATA WILL NOT BE LOST, OR THAT USING IT WILL IMPROVE YOUR FOCUS, PRODUCTIVITY, GRADES OR WELL-BEING.

16.3 Not professional advice. THE SERVICE IS NOT MEDICAL, PSYCHOLOGICAL OR EDUCATIONAL ADVICE AND IS NOT A TREATMENT FOR ANY CONDITION, INCLUDING ATTENTION-RELATED CONDITIONS. CONSULT A QUALIFIED PROFESSIONAL FOR ANY SUCH NEEDS.

16.4 Third-Party Services. WE MAKE NO WARRANTIES ABOUT THIRD-PARTY SERVICES, INCLUDING CANVAS AND AI PROVIDERS, OR ABOUT THE ACCURACY OF DATA OR OUTPUT THEY RETURN.

16.5 Your statutory rights. Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by law, and nothing in these Terms affects rights you have as a consumer that cannot be waived or limited by contract.

17. Limitation of liability

17.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ACADEMIC STANDING OR OPPORTUNITY, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) FIFTY U.S. DOLLARS (US$50).

17.3 Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or under mandatory consumer-protection laws. If you are a consumer in the EEA or the UK, we are liable under statutory provisions for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill, and Sections 17.1 and 17.2 do not limit that liability where the law prohibits it.

17.4 Basis of the bargain. The limitations in Sections 16 and 17 are an essential part of the bargain between you and us and allow us to offer the Service free of charge.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Locken and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to (a) your violation of these Terms or the Acceptable Use Policy, (b) your violation of any law or the rights of a third party, or (c) your use of a Third-Party Service. This Section does not apply to consumers to the extent prohibited by applicable law. If you are a minor, this obligation is assumed by your parent or guardian under Section 2.2.

19. Dispute resolution

19.1 Talk to us first. Most concerns can be resolved quickly. Before filing any claim, you agree to email daanu.focus@gmail.com with a description of the dispute and the relief you want. We will do the same before filing a claim against you. Both parties will try in good faith to resolve the dispute informally for at least sixty (60) days from receipt of the notice. Limitation periods are paused during this time.

19.2 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.3 Courts. Subject to Section 19.4, any dispute not resolved informally will be brought exclusively in the state or federal courts located in California, and you and we consent to the personal jurisdiction of those courts. Either party may bring an individual claim in a small-claims court of competent jurisdiction instead.

19.4 Consumers in the EEA, UK and other countries. If you are a consumer living in the European Economic Area, the United Kingdom, Switzerland, Australia or another country whose laws give you the right to bring proceedings in your home courts or to rely on the mandatory laws of your home country, nothing in this Section 19 removes that right.

19.5 Time limit. To the extent permitted by law, any claim relating to the Service must be brought within one (1) year after the claim arises; otherwise it is permanently barred.

20. Export controls

You agree to comply with all applicable export-control and sanctions laws in your use of the Service, and not to export, re-export or transfer the Service in violation of those laws.

21. Changes to these Terms

21.1 We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date. If a change is material, we will notify you by email or in the app at least thirty (30) days before it takes effect, unless the change is required sooner by law or to address a security risk.

21.2 If you continue using the Service after updated Terms take effect, you accept them. If you do not agree, stop using the Service and delete your account. Changes will not apply retroactively to disputes that arose before the change took effect.

22. General

22.1 Entire agreement. These Terms, together with the policies incorporated in Section 1.2 and any additional terms you accept for specific features, are the entire agreement between you and us about the Service and supersede any prior agreements on that subject.

22.2 Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

22.3 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

22.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of assets, or by operation of law, provided the assignee agrees to honor our Privacy Policy commitments.

22.5 Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of third-party providers, internet or power failures, natural disasters, labor disputes or government action.

22.6 Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.

22.7 Notices. We may give you notice by email to the address on your account or in the app. You may give us notice at daanu.focus@gmail.com.

22.8 Language and headings. These Terms are written in English. Any translation is for convenience only, and the English version controls to the extent permitted by law. Headings are for convenience only.

22.9 Third-party beneficiaries. Except as stated in Section 18, these Terms create no rights for any third party.
